The buyer arrives to see a buzzing, active factory with all assembly lines moving at full speed. As soon as the buyer leaves, the place shuts down again, waiting for the next victim to arrive. I usually do the following to break through to reality: I refuse to visit the factory floor first.

The Chinese side is always upset about this decision. I just make clear that I have other things I want to do first. The first place I visit is the raw materials warehouse.

Is the warehouse full or empty? An empty warehouse is almost always a sign of a manufacturer that is struggling. If the warehouse is full, I then look to see what sort of material is in the warehouse.

Are the materials consistent with what the manufacturer says it produces? Are the suppliers local, national or international? Do I recognize any of the suppliers?

Are the suppliers reputable? I next like to visit is the shipping warehouse. If the export warehouse is empty, this is an obvious signal that the manufacturer has no current business. If the warehouse if full, I then check whether the deliveries are for China internal markets or for export.

If for export, I then check what the destinations for the product. Are they headed for countries that generally have buyers that care about product quality? I also pay close attention to the packing of the product and loading procedure.

You can tell a lot about a company by the way it loads the product into a container. My next visit is to the finance office of the manufacturer. I just sit on a chair for about an hour and observe what is going on.

If there is no activity, I know the company is dead. If there is activity, I then observe. Is cash moving in and out of the safe? A company that relies on cash transactions is typically not part of an international sales market.

Reliance mostly on cash evidences a local player with little China national and international business. My next stop is the sales department of the company. Again, the first thing I observe is whether the department is busy.

Are the sales people taking orders and working with purchase orders and invoices and receipts, or are they drinking tea and staring out the window? What language are they speaking? Are they talking in Chinese or English?

No English means no international business. Finally, I just sit in a corner and listen. This can be very valuable. That told me all I needed to know about that company. Finally, after all this back office visiting, I am ready to look at the factory.

Here, I further frustrate the factory owner by refusing to look at the work shop floor. Instead, I make clear that I want to visit the quality control department. If there is no QC department, that tells me everything.

If there is a QC department, once again I just take a chair in the corner and watch. My goal is to determine what happens when a quality problem is discovered. Do the QC people go out to the factory floor to see what happened?

Do they just pull out the defective item with no further action? Or do they do absolutely nothing? What happens to the defective item? Is it destroyed or is it put aside, presumably for sale in the local market.

The same basic rules apply for this visit. Does the lab show signs of use, or it is just a fancy showroom designed to fool gullible foreigners? I recently visited such a lab at the offices of a food manufacturer.

The equipment was beautiful. In fact, it was so beautiful that it was quite obvious that none of the QC and testing equipment had ever been used. Finally I will visit the factory floor.

By this time I have a pretty good idea what is going on at the factory. The factory floor visit is usually just a check on the equipment being used and the QC procedure is in effect.

Once you get used to using an approach like the one I use above, you will find that you can weed out the bad factories very quickly. In my experience, good factories are rare. If your initial review suggests that the factory is a good one, you should take the time to move to the next stage of discussing whether or not you can really do business with the factory.

Any good factory will also be very busy. You need to have an honest discussion about what you want to have made, in what quantity and in what time frame. On the other hand, if you reject a factory, make your departure as soon as possible.

Do not fall into the trap of wasting time going to lunch or dinner with the factory people that fall into the obvious reject list. On the other hand, if the good factories invite you to lunch or dinner, take the time to go.

Good factories are rare and you should work immediately to build a relationship. Recently received an email from S D, who is based in China. I have removed all of the names and any other potential identifiers, but have retained the gist of the story.

My firm has gone through nearly this exact same scenario at least a half a dozen times over the last few years. I met with X Company [new client] yesterday. In our discussion, X Company asked about supply agreements.

I said they are necessary and that one important part was to provide no copying, no placing of products in the supplier show room and no placing of the product in the supplier catalog. As a remark, I said: You will really feel bad when you go to a trade show and see you entire product line for sale with all your products on display and in your suppliers own catalog.

This morning, X Company called me to say they had just received a call from one of their employees attending a trade show in a city outside China. Their supplier from China was at the show.

So now I am trying to deal with this issue. They actually have a really complete supply agreement from a New York law firm. Meaning, of course, that by law they have absolutely no remedy in China against the offending party.

In fact, their 18 page supply agreement does not deal with any of the real issues involved in China and it takes the stance that China and Chinese law do not exist.

I do not see us being able to get any sort of injunctive relief here to stop this Chinese company quickly. Get a good supply OEM agreement that provides you with the possibility of securing injunctive relief in China.

This oftentimes can be achieved using a carve out from arbitration. This provision will be what will allow you to go to the Chinese courts for an order requiring your supplier to do something such as stop exhibiting and selling your products.

The smart ones are sure to tell their clients they need to register their trade names in China and have a China lawyer draft their OEM agreements with their China suppliers.

Once the consultant makes this recommendation though, he or she has to a large extent freed themselves of future legal liability and need not worry all that much about whether their client goes forward with registering their trademark in China or using an OEM agreement or not.

A consultant from an emerging market country wrote me the other day saying he thought it would be good if his clients were to have well-crafted OEM agreements with their Chinese suppliers, but when I told him what we typically charge to do these agreements in Chinese and in English, he said he questioned the value of such an agreement since most of his clients would not have enough money to sue anyway.

I then told him that a good OEM agreement is particularly valuable for those sorts of clients: Ninety percent of the value of a good OEM contract is that it prevents the need to sue. Having one of these in place means the Chinese company KNOWS not to mess around because it will get sued and lose, so it chooses to follow the contract.

If anything, such an agreement is more important for the small company than for the large one because it acts so well to prevent the one bad shipment that puts the small company under.

We our contacts have probably written at least of these and I am not aware of a single time where the client has had to come back to us wanting to sue its Chinese supplier.

And if it did, I can tell you that having a really good contract in place in Chinese would make going after the Chinese supplier a whole lot easier and cheaper than not having an OEM contract at all.

Inventec contract manufactures Redmi series for Xiaomi. Coolpad contract manufactures for Letv and Qiku. ZTE contract manufactures Yotaphone, a Russian dual screen phone.

SIM contract manufactures for Smartisan etc. Maybe, originally in design, the phone has dual core processor, 5mp back camera, but the company desire a quad core processor and 13mp back camera etc.

They can tell the company to modify and produce the phone for them this way. This is called ODM. I recommend this for very rich start up companies. For this thread this is the type of manufacturing we are advocating.

It is when a company sees a smartphone they like, from another producing company, they approach them to customize and print their logo on the smartphone, without any form of hardware modifications at all.

I recommend this type of manufacturing for any Nigerian start up. Alps also produced the same phone for an Indian company Xolo. But with special arrangement you can make pieces. Very soon we will have “Custom Manufacturing” added.

Instead, I make clear that I want to visit the quality control department. If there is no QC department, that tells me everything. If there is a QC department, once again I just take a chair in the corner and watch.

My goal is to determine what happens when a quality problem is discovered. Do the QC people go out to the factory floor to see what happened? Do they just pull out the defective item with no further action?

Or do they do absolutely nothing? What happens to the defective item? Is it destroyed or is it put aside, presumably for sale in the local market. The same basic rules apply for this visit.

Does the lab show signs of use, or it is just a fancy showroom designed to fool gullible foreigners? I recently visited such a lab at the offices of a food manufacturer. The equipment was beautiful.

In fact, it was so beautiful that it was quite obvious that none of the QC and testing equipment had ever been used. Finally I will visit the factory floor. By this time I have a pretty good idea what is going on at the factory.

The factory floor visit is usually just a check on the equipment being used and the QC procedure is in effect. Once you get used to using an approach like the one I use above, you will find that you can weed out the bad factories very quickly.

In my experience, good factories are rare. If your initial review suggests that the factory is a good one, you should take the time to move to the next stage of discussing whether or not you can really do business with the factory.

Any good factory will also be very busy. You need to have an honest discussion about what you want to have made, in what quantity and in what time frame. On the other hand, if you reject a factory, make your departure as soon as possible.

Do not fall into the trap of wasting time going to lunch or dinner with the factory people that fall into the obvious reject list. On the other hand, if the good factories invite you to lunch or dinner, take the time to go.

Good factories are rare and you should work immediately to build a relationship. Recently received an email from S D, who is based in China. I have removed all of the names and any other potential identifiers, but have retained the gist of the story.

My firm has gone through nearly this exact same scenario at least a half a dozen times over the last few years. I met with X Company [new client] yesterday. In our discussion, X Company asked about supply agreements.

I said they are necessary and that one important part was to provide no copying, no placing of products in the supplier show room and no placing of the product in the supplier catalog. As a remark, I said: You will really feel bad when you go to a trade show and see you entire product line for sale with all your products on display and in your suppliers own catalog.

This morning, X Company called me to say they had just received a call from one of their employees attending a trade show in a city outside China. Their supplier from China was at the show.

So now I am trying to deal with this issue. They actually have a really complete supply agreement from a New York law firm. Meaning, of course, that by law they have absolutely no remedy in China against the offending party.

In fact, their 18 page supply agreement does not deal with any of the real issues involved in China and it takes the stance that China and Chinese law do not exist.

I do not see us being able to get any sort of injunctive relief here to stop this Chinese company quickly. Get a good supply OEM agreement that provides you with the possibility of securing injunctive relief in China.

This oftentimes can be achieved using a carve out from arbitration. This provision will be what will allow you to go to the Chinese courts for an order requiring your supplier to do something such as stop exhibiting and selling your products.

The smart ones are sure to tell their clients they need to register their trade names in China and have a China lawyer draft their OEM agreements with their China suppliers. Once the consultant makes this recommendation though, he or she has to a large extent freed themselves of future legal liability and need not worry all that much about whether their client goes forward with registering their trademark in China or using an OEM agreement or not.

A consultant from an emerging market country wrote me the other day saying he thought it would be good if his clients were to have well-crafted OEM agreements with their Chinese suppliers, but when I told him what we typically charge to do these agreements in Chinese and in English, he said he questioned the value of such an agreement since most of his clients would not have enough money to sue anyway.

I then told him that a good OEM agreement is particularly valuable for those sorts of clients: Ninety percent of the value of a good OEM contract is that it prevents the need to sue. Having one of these in place means the Chinese company KNOWS not to mess around because it will get sued and lose, so it chooses to follow the contract.

If anything, such an agreement is more important for the small company than for the large one because it acts so well to prevent the one bad shipment that puts the small company under.

We our contacts have probably written at least of these and I am not aware of a single time where the client has had to come back to us wanting to sue its Chinese supplier.

And if it did, I can tell you that having a really good contract in place in Chinese would make going after the Chinese supplier a whole lot easier and cheaper than not having an OEM contract at all.

Tecno N3, M3, L3, H3 etc fit into this class. These ones has advanced features as compared to budget smartphones, but some of their features are also basic, some high end. These phones are feature studded.

Some companies are in the habit of producing High end smartphones and markets them as mid range or mid range and markets them as entry level smartphones. This is to gain market easily amid low profit.

All the components on their phones are manufactured by them and assembled by them. This is very capital intensive and it is for very big companies. Foxconn contract manufactures for Apple Iphone, Huawei, Xiaomi.

Inventec contract manufactures Redmi series for Xiaomi. Coolpad contract manufactures for Letv and Qiku. ZTE contract manufactures Yotaphone, a Russian dual screen phone. SIM contract manufactures for Smartisan etc.

Maybe, originally in design, the phone has dual core processor, 5mp back camera, but the company desire a quad core processor and 13mp back camera etc. They can tell the company to modify and produce the phone for them this way.

This is called ODM. I recommend this for very rich start up companies. For this thread this is the type of manufacturing we are advocating. It is when a company sees a smartphone they like, from another producing company, they approach them to customize and print their logo on the smartphone, without any form of hardware modifications at all.

I recommend this type of manufacturing for any Nigerian start up. Alps also produced the same phone for an Indian company Xolo. But with special arrangement you can make pieces. Very soon we will have “Custom Manufacturing” added.
